Terms of Service

Clutch is an AI-powered study tool that allows users to upload PDF documents and receive automatically generated study materials, including key topics, flashcards, and quizzes. The Service is provided on both free and paid subscription tiers.

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 13 years old to use the Service.
• One person or entity may not maintain more than one free account.
• You are responsible for all activity that occurs under your account.

You agree not to:

• Upload content that is illegal, infringing, or violates any third party's rights
• Upload content containing malware, viruses, or harmful code
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
• Use the Service to engage in academic dishonesty or violate your institution's academic integrity policies
• Use automated tools (bots, scrapers) to access the Service without our written permission
• Resell, redistribute, or commercially exploit the Service or its output without authorization
• Circumvent usage limits, access controls, or payment requirements

We reserve the right to suspend or terminate accounts that violate these terms.

Ownership: You retain full ownership of all PDF files and documents you upload to the Service (“User Content”). We do not claim any intellectual property rights over your User Content.

License: By uploading content, you grant us a limited, non-exclusive license to process, analyze, and store your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or account.

Responsibility: You are solely responsible for the content you upload. You represent that you have the right to upload and process any content you submit to the Service.

• Study materials generated by the Service are produced by artificial intelligence and may contain errors or inaccuracies.
• Clutch does not guarantee the accuracy, completeness, or reliability of any AI-generated content.
• AI-generated content should be used as a supplementary study aid, not as a sole source of information.
• You are responsible for verifying the accuracy of generated content against your original materials and other reliable sources.

Free Tier: The free tier provides limited usage (currently a few free uses per day). We reserve the right to modify free tier limits at any time.

Paid Subscriptions: Paid subscriptions are billed in advance on a recurring basis. All payments are processed securely through Stripe. Prices are listed on our pricing page and may be updated with 30 days' notice to active subscribers.

Refunds: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We generally do not provide refunds for partial billing periods. However, if you experience a technical issue that prevents you from using the Service, contact us and we will review your case.

Failed Payments: If a payment fails, we may suspend access to paid features until the payment issue is resolved.

The Service, including its design, code, branding, logos, and AI models, is owned by Clutch and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE; THAT THE SERVICE WILL MEET YOUR SPECIFIC ACADEMIC REQUIREMENTS; OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLUTCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR ACADEMIC CONSEQUENCES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR USD $50, WHICHEVER IS GREATER.

You agree to indemnify and hold Clutch harmless from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

By You: You may delete your account at any time through your account settings or by contacting us.

By Us: We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity of the violation.

Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy.

We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms on this page and updating the “Last Updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Governing Law: These Terms shall be governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict of law provisions.

Dispute Resolution: Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the courts of Hong Kong.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full effect.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clutch regarding the Service.
